1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of the InfoLens Connect platform, including the web application, REST APIs, SDKs, embeddable widgets, MCP server, and all related services (collectively, the "Service"), provided by GD Labs ("we", "us", or "our").
By creating an account or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Account Registration & Responsibilities
- You must provide accurate and complete information when creating an account.
- You are responsible for maintaining the confidentiality of your account credentials, including passwords and API keys.
- You must immediately notify us of any unauthorized use of your account.
- You are responsible for all activity that occurs under your account, whether or not you authorized it.
- You must be at least 16 years of age to create an account. If the Service is used in an educational context involving minors, the responsible institution (tenant) must ensure compliance with applicable laws.
3. Multi-Tenant Structure
InfoLens Connect operates as a multi-tenant platform where each organization ("tenant") has an isolated workspace. Key points:
- Tenant Administrators are responsible for managing users, roles, and content within their tenant.
- Role-Based Access Control: Access to features and data is governed by roles assigned by the tenant administrator. Available roles and permissions may vary per tenant.
- Data Isolation: Each tenant's data (documents, conversations, user accounts, roles) is logically isolated from other tenants.
- Tenant administrators may configure tenant-specific settings including feature flags, data retention policies, and agent configurations.
4. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
- Upload, transmit, or store content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable.
- Attempt to gain unauthorized access to other tenants' data, accounts, or system resources.
- Reverse-engineer, decompile, or disassemble any part of the Service except as permitted by applicable law.
- Use automated tools (bots, scrapers) to access the Service in a manner that exceeds reasonable usage or circumvents rate limits.
- Interfere with or disrupt the integrity or performance of the Service.
- Use the Service to build a competing product or service.
- Share API keys or account credentials with unauthorized parties.
- Upload documents containing malware, viruses, or malicious code.
We reserve the right to suspend or terminate access for violations of these terms.
5. Data Ownership
Your data is yours. You retain all ownership rights to the documents, content, and data you upload to or create within the Service ("Your Content").
- You grant us a limited license to process, store, and index Your Content solely for the purpose of providing the Service (e.g., RAG ingestion, embedding generation, search, AI response generation).
- We do not claim ownership of Your Content and will not use it for purposes unrelated to providing the Service.
- You may export or delete Your Content at any time through the Service interface or API.
- Upon tenant termination, we will make Your Content available for export for a reasonable period (minimum 30 days) before permanent deletion.
6. AI-Generated Content Disclaimer
The Service uses artificial intelligence (including Google Gemini large language models) to generate responses, summaries, and other content based on your documents and queries. You acknowledge and agree that:
- No guarantee of accuracy: AI-generated content may contain errors, inaccuracies, or hallucinations. It should not be relied upon as the sole source of truth for critical decisions.
- Not professional advice: AI-generated responses do not constitute legal, medical, financial, or other professional advice.
- Human review recommended: We strongly recommend verifying AI-generated content against source documents, which are provided as citations where available.
- Model limitations: The quality of AI responses depends on the quality and completeness of the uploaded source documents.
- No liability for AI output: We are not liable for any decisions or actions taken based on AI-generated content.
7. Agents & Embeddable Widgets
Tenant administrators may create AI agents and deploy embeddable widgets on third-party websites. When doing so:
- The tenant is responsible for ensuring that the widget deployment complies with the third-party website's terms and applicable privacy laws.
- The tenant should inform end-users of the widget that they are interacting with an AI system and direct them to the relevant privacy policy.
- API keys used by widgets are the tenant's responsibility to manage and rotate as needed.
8. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:
- Scheduled maintenance (with reasonable advance notice).
- Third-party service disruptions (LLM provider outages, cloud infrastructure issues).
- Force majeure events (natural disasters, governmental actions, network failures).
We are not liable for any loss or damage resulting from service unavailability.
9. Intellectual Property
The Service, including its software, design, documentation, branding, and all associated intellectual property, is owned by GD Labs or its licensors and is protected by copyright, trademark, and other intellectual property laws.
Your use of the Service does not grant you any ownership interest in the Service itself. You may not copy, modify, distribute, or create derivative works of the Service except as expressly permitted by these Terms or a separate written agreement.
10. Payment & Fees
If the Service includes paid plans or features, the applicable fees, billing cycle, and payment terms will be presented at the time of purchase. Unless otherwise stated:
- Fees are non-refundable unless required by applicable law.
- We reserve the right to change pricing with 30 days' advance notice.
- Failure to pay may result in suspension or termination of access.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
- WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL.
- OUR TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to indemnify and hold harmless GD Labs, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:
- Your use of the Service.
- Your Content or any content you upload.
- Your violation of these Terms.
- Your violation of any third-party rights, including intellectual property rights.
13. Termination
Either party may terminate the use of the Service:
- By you: You may delete your account at any time through the Service or by contacting your tenant administrator.
- By us: We may suspend or terminate your account if you violate these Terms, if your tenant is suspended, or for other legitimate business reasons with reasonable notice.
- Effect of termination: Upon termination, your right to access the Service ceases. We will retain Your Content for a reasonable export period (minimum 30 days) unless you request immediate deletion.
Sections that by their nature should survive termination (including Data Ownership, Limitation of Liability, Indemnification, and Governing Law) will survive.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
15. Changes to These Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will notify you through the Service or via email at least 30 days before the changes take effect. Your continued use of the Service after the effective date of revised Terms constitutes acceptance of those changes.
16. Miscellaneous
- Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
- Waiver: Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.
- Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights without restriction.
